Code of Ethics For North Star Building Service
North Star Building Service hiring practices and promotes fair and ethical business practices while acting in the best interest of our clients and the people and suppliers working for North Star Building Service. This includes upholding a strict code of ethics in our daily business.
The Code of Conduct and Ethics applies to you if you are you are hired in any capacity to provide goods and or services for NORTH STAR BUILDING SERVICE or you are doing the preliminary work on a purchase that will go to clients of North Star Building Services.
First, give consideration to NORTH STAR BUILDING SERVICE's mission and policies.
We uphold high standards of honesty, fairness, and accountability in all interactions with our customers. Ensuring quality service is delivered consistency, transparent pricing, and responsible practices regarding data privacy, employee treatment, and any potential conflicts of interest, while always prioritizing customer satisfaction and building trust through open communication.
Obtain maximum value for each dollar spent.
Decline personal favors, gifts, and gratuities. Grant all competitive suppliers fair and equal consideration.
Conduct business with suppliers, clients and all service providers in an atmosphere of good faith.
Demand honesty and transparency from all individuals conducting business for and with North Star Building Service.
Receive consent from the originator for the use of proprietary ideas and information.
Make a reasonable effort to obtain equitable settlement of any controversy with a client or service provider.
Accord a prompt and courteous response to all who call on business.
Create an environment of fair, ethical, and legal business practices.
Protect the company’s interest by ensuring that contractors and clients honor all terms of their contracts.

Customer Privacy:
Protecting our customers security and private information is paramount to our business success. We only use information appropriately to ensure that the clients security is protected.

We adhere to fair hiring practices and equal employment opportunities. Providing respectful workplace environment, preventing harassment or discrimination. We expect all who work with us to adhere to the same standards.
Fair Pricing:
Transparent pricing structure with no hidden fees. The price in your contract is the price you will be pay.
Professionalism:
Maintaining a professional demeanor in all interactions with our clients no matter the situation is something we require of you.
Attire is to be clean and not stained or dirty so that you appear clean and approachable. Uniforms are not required but a solid colored Blue or White shirt and dark colored or khaki pants are required. Shoes with non scuffing soles must be worn at all time.
Accountability:
We take responsibility for mistakes and work to rectify issues promptly. We expect the same of you. Addressing customer complaints fairly and efficiently while keeping our clients in the loop through CRM app where work can be tracked. We expect you to provide all help and information you may have to resolve any problems promptly that occur at the accounts you service.

Agreement
This Agreement is entered into on the date signed at the bottom of the contract, by and between North Star Building Service (herein referred to as "NORTH STAR"), and yourself the Independent Contractor (herein referred to as "Agent") with reference to the following facts:1. Terms and Policies Agent agrees to maintain a professional appearance and attitude, exhibit a willingness to cooperate, and perform as a productive subcontractor in the development and maintenance of NORTH STAR’s building accounts. 2. Responsibilities A. Responsibilities:Agent will provide cleaning labor for NORTH STAR and professional commercial cleaning crews for assigned accounts. B. Primary Duties: The Agent's primary duty is to provide service to said accounts to the satisfaction of customers. C. Independent Contractor Status: The Agent is an independent contractor and is responsible for their own taxes, workers, and insurance coverage. No employer-employee relationship exists. The Agent will hold NORTH STAR harmless from any and all liability, including but not limited to injuries, damages, or lawsuits involving the Agent or its workers. 3. Client Interaction and Defamation A. Prohibition on Client Contact: The Agent agrees not to contact any North Star’s client directly for the purpose of resolving disputes, addressing payment issues, or attempting to bypass North Star. All communication regarding conflicts must be directed solely to North Star. B. Defamation of North Star: The Agent agrees not to make any statements, written or verbal, to North Star’s clients that could harm the reputation or standing of North Star’s. This includes but is not limited to allegations of wrongdoing, payment disputes, or operational criticism. C. Consequences of Violation: Any action by the Agent, directly or through a third party, to contact clients in violation of this section, or to defame North Star’s, will result in: Immediate termination of this Agreement. Forfeiture of all unpaid compensation owed to the Agent. Potential legal action for damages caused by the Agent’s actions. 4. Payment A. Payment Structure: Agent will be compensated on a man-hour basis as agreed upon for specific accounts. Payments are based on completed services for the prior month. B. Payment Timing and Conditions: Payment to the Agent will only be made after NORTH STAR has received payment from the client. NORTH STAR makes every effort to collect payments promptly, but cannot guarantee payment on specific dates. In the event that the client fails to pay NORTH STAR for services rendered, the Agent understands and agrees that NORTH STAR is not liable for unpaid compensation. C. Payment Documentation: Agent must submit accurate invoices to NORTH STAR in advance each month to receive payment. No invoice to NORTH STAR will result in no payment to the Agent. D. Non-Payment Clause: If a client does not pay NORTH STAR due to a dispute, bankruptcy, or any other reason beyond NORTH STAR’s control, NORTH STAR is not responsible for compensating the Agent for those services. The Agent agrees to assume the financial risk associated with non-payment by the client and acknowledges that compensation is contingent upon client payment .5. Termination and Transition A. Termination by NORTH STAR: North Star may terminate this Agreement at any time without notice. Upon termination, the Agent must return any keys or materials within 6 hours to avoid penalties for changing locks or reprogramming alarm codes. B. Termination by Agent: The Agent must provide 30 days' written notice before terminating this Agreement. If the Agent fails to honor this notice and disrupts service to the client, the Agent will be financially responsible for any additional costs incurred by NORTH STAR to maintain the account. C. Client Non-Payment Termination: In the event that NORTH STAR terminates a client contract due to non-payment, the Agent understands that this may result in the termination of services for that account and agrees to release NORTH STAR from liability for unpaid compensation. 6. Confidentiality and Non-Compete A. Confidential Information: The Agent agrees not to disclose or misuse any proprietary or client-related information belonging to NORTH STAR. B. Non-Compete Clause: For one year after termination, the Agent shall not solicit NORTH STAR’s clients, use NORTH STAR’s client lists, or otherwise compete in a way that causes harm to NORTH STAR. 7. Miscellaneous A. Legal Expenses: If a dispute arises and NORTH STAR incurs legal fees to enforce this Agreement, the Agent agrees to cover all associated costs, including attorney fees. B. Severability: If any part of this Agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect. C. Entire Agreement: This document constitutes the entire agreement between NORTH STAR and the Agent. Any changes must be made in writing and signed by both parties. 8. Performance Standards A. Quality Assurance: Complaints from clients must be corrected within 14 hours. Persistent complaints or the loss of an account due to poor service may result in termination of this Agreement. B. Holiday Service and Pay: Payment will only be provided for services performed. If a client does not require services during holidays or deducts holiday pay from their invoice, the Agent's compensation will reflect this deduction.
